By accessing and using the website and services of NISSAD Digital Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, as well as our Privacy Policy. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, clients, and others who access or use our services.
NISSAD Digital Services provides a comprehensive range of digital solutions including but not limited to website design and development, branding and identity solutions, digital marketing, graphic design and creative services, ICT and technical support, business automation, media and production services, project management and implementation, AI and automation solutions, and AI training and capacity building. The specific scope, deliverables, timelines, and costs for each project are defined in individual service agreements and proposals.
All project engagements begin with a formal proposal that outlines the scope of work, deliverables, timeline, pricing, and terms. The proposal becomes a binding agreement upon written acceptance by the client. Any changes to the agreed scope must be documented through a formal change request process and may result in adjustments to timeline and pricing.
Clients agree to provide timely access to necessary information, materials, feedback, and approvals required for project execution. Delays in client response or material provision may result in corresponding delays in project delivery. Clients are responsible for the accuracy and legality of all content and materials they provide.
Each project includes a defined number of revision rounds as specified in the service agreement. Additional revisions beyond the agreed scope may incur additional charges at our standard hourly rates.
Clients retain full ownership of all content, materials, and intellectual property they provide for the project. By providing such materials, clients grant NISSAD Digital Services a limited, non-exclusive license to use them solely for the purpose of delivering the agreed services.
Upon full payment, the client receives ownership of the final deliverables created specifically for the project. NISSAD Digital Services retains the right to showcase the work in our portfolio and marketing materials unless otherwise agreed in writing.
Any third-party assets (stock photos, fonts, plugins, etc.) used in the project are subject to their respective license terms. Clients are responsible for maintaining and renewing any applicable licenses.
Both parties agree to maintain the confidentiality of any proprietary, sensitive, or confidential information shared during the course of the engagement. This obligation survives the termination of the service agreement and applies to all employees, contractors, and agents of both parties.
NISSAD Digital Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services, even if we have been advised of the possibility of such damages. Our total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific project in question.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However, we do not guarantee specific business outcomes, search engine rankings, traffic levels, conversion rates, or other measurable results, as these depend on numerous factors beyond our control. Our services are provided "as is" without any other warranties, express or implied.
Either party may terminate a service agreement with 30 days written notice. In the event of termination, the client is responsible for payment of all work completed up to the termination date. Any deposits or prepayments for work not yet completed will be refunded, minus a reasonable administrative fee.
Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to mediation before any legal action is pursued. These terms shall be governed by and construed in accordance with the laws of Uganda.
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services following any changes constitutes acceptance of the modified terms. We encourage you to review these terms periodically.
